Terms of Service

Effective date: March 1, 2026 (Document version: 2026-03-01). These Terms of Service ("Terms") are a legally binding agreement between you ("you," "your") and Jakd LLC, a limited liability company organized in Arizona, operating Copa from Chandler, Arizona, United States ("Copa," "we," "us," "our"). By creating an account, accessing, or using Copa, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Copa.

1. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to create an account and use Copa. By using Copa, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. Copa is designed for adult caregivers; children may not create accounts directly.

2. Account Registration and Security

  • You may register using an email address and password, or through a supported third-party authentication provider (such as Google or Apple sign-in).
  • You agree to provide accurate, current, and complete registration information and to update it as necessary.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including actions taken by invited household members and caregivers you authorize.
  • You must notify us immediately at support@copa-ai.app if you believe your account has been compromised.

3. Service Description

Copa is a mobile application that helps parents and caregivers coordinate baby care. Core features include:

  • Activity logging: feeding, sleep, diaper, mood, growth measurements, milestones, and health tracking.
  • Household collaboration: real-time syncing of care activities between caregivers via household accounts, duty coordination, and task claiming.
  • Smart Duty engine: automated suggestions for task assignment based on recent activity patterns.
  • Push notifications: reminders, duty alerts, partner activity updates, and AI-generated insights.
  • AI-powered features (Copa AI): conversational chat for parenting questions, photo-based analysis (diaper assessment, skin checks), proactive insights, educational content, and AI-generated avatar images (collectively, "AI Features"). AI Features may be available only on certain subscription plans.
  • Insights and analytics: trend analysis, growth charts, milestone tracking, and daily summaries (availability varies by subscription plan).

Feature availability depends on your subscription plan and may change over time. We reserve the right to modify, add, or discontinue features with reasonable notice.

4. Household Accounts and Shared Data

  • Copa organizes data around "households." When you create or join a household, all care activity logs, baby profiles, growth data, milestone records, and Copa AI chat history within that household are visible to all authorized household members.
  • By inviting another caregiver to your household (or accepting an invitation), you acknowledge and consent to sharing household data with that person.
  • Household owners may remove members. Removed members lose access to household data but data they contributed remains in the household log.
  • You are responsible for ensuring that any person you invite to your household is someone you trust with access to baby care information.

5. Important Health and Safety Disclaimer

Copa is not a medical device, healthcare provider, or substitute for professional medical advice, diagnosis, or treatment.

  • All Copa outputs, including AI-generated insights, vision analysis results, growth chart displays, and educational content, are provided for informational and convenience purposes only.
  • Copa AI vision analysis (such as diaper assessment or skin checks) uses artificial intelligence and is not a clinical evaluation. Results may be incomplete, inaccurate, or inappropriate for your situation.
  • Never delay or avoid seeking professional medical care based on Copa content. If you believe your child is experiencing a medical emergency, call 911 (or your local emergency number) immediately.
  • You are solely responsible for all health and care decisions concerning your child and for independently verifying any information before acting on it.
  • Copa does not establish a doctor-patient, nurse-patient, or any other clinical relationship between you and Jakd LLC.

6. AI Features and Consent

  • AI Features require separate, explicit in-app consent before activation. You may withdraw this consent at any time through the app settings.
  • By enabling AI Features, you authorize Copa and our third-party AI service providers (which may include Google, OpenAI, or Anthropic, acting as our data processors) to process your messages, uploaded photos, and relevant baby care data for the purpose of generating requested outputs.
  • AI-generated content, including Copa AI chat responses, vision analysis, proactive insights, and avatar images, may be inaccurate, incomplete, or misleading. You must exercise independent judgment and not rely solely on AI outputs.
  • AI-generated avatar images ("Little Toons") are created from photos you upload. You represent that you have the right to upload such photos and consent to their processing by AI image generation services.
  • We may update AI models, providers, or processing methods at any time to improve quality, safety, or compliance. Such changes do not require separate notice.

7. Subscriptions, Billing, and In-App Purchases

  • Copa offers a free tier with limited features and paid subscription plans that unlock additional capabilities (including AI Features, Insights, and multi-child support). Current plan details and pricing are displayed in the app.
  • Auto-renewal: Paid subscriptions automatically renew at the end of each billing period (monthly or annually, as selected) unless you cancel before the renewal date. You will be charged the then-current subscription price at each renewal.
  • Payment processing: All purchases are processed through the Apple App Store or Google Play Store (collectively, "App Stores"). Your purchase is subject to the applicable App Store's terms and payment policies.
  • Cancellation: You may cancel your subscription at any time through your App Store account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until that date.
  • Refunds: Refund requests are handled by the applicable App Store in accordance with their refund policies. Jakd LLC does not directly process refunds for App Store purchases.
  • Price changes: We may change subscription pricing with at least 30 days' advance notice. Price changes take effect at the start of the next billing period following the notice. If you do not agree to a price change, you may cancel before it takes effect.
  • Free tier with advertisements: The free tier may display advertisements. Paid subscribers do not see advertisements.

8. Acceptable Use

You agree not to:

  • Use Copa for any unlawful, fraudulent, abusive, harassing, or harmful purpose.
  • Upload content that you do not have the right to use, including unauthorized third-party images or personal data of individuals who have not consented.
  • Attempt to reverse-engineer, decompile, disassemble, or derive the source code of Copa or its AI models.
  • Circumvent, disable, or interfere with security features, access controls, subscription entitlements, or usage limits.
  • Use Copa to generate content that is abusive, obscene, defamatory, or that exploits or harms minors in any way.
  • Use automated scripts, bots, or other means to access Copa in a manner that exceeds reasonable use or places undue load on our systems.
  • Impersonate another person or misrepresent your affiliation with any person or entity.
  • Interfere with the service's integrity, availability, or other users' experience.

We may suspend or terminate accounts that violate these rules, with or without prior notice depending on the severity of the violation.

9. User Content and License

  • Ownership: You retain all ownership rights in the content you submit to Copa, including care logs, photos, notes, and messages ("User Content").
  • License grant: By submitting User Content, you grant Jakd LLC a limited, non-exclusive, worldwide, royalty-free license to host, store, process, display, and transmit that content solely as necessary to operate, maintain, secure, and improve Copa and to provide the services you request. This license is revocable upon deletion of your content or account, subject to reasonable backup and legal retention periods described in our Privacy Policy.
  • AI training: We do not use your User Content to train general-purpose AI models. User Content sent to third-party AI providers is processed solely to generate your requested outputs and is subject to our data processing agreements with those providers.
  • Feedback: If you provide suggestions, ideas, or feedback about Copa, you grant us an unrestricted, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.

10. Intellectual Property

Copa, including its software, design, logos, trademarks, documentation, and all related materials, is owned by Jakd LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in Copa beyond the limited right to use the service in accordance with these Terms.

11. Third-Party Services and Platforms

  • Copa relies on third-party infrastructure, authentication, AI, notification, and payment services. Their availability and policies may affect Copa's functionality.
  • Copa is distributed through the Apple App Store and Google Play Store. Your use of Copa is also subject to the applicable App Store terms.
  • App Store providers are not parties to these Terms and have no obligation to provide maintenance or support for Copa. To the extent required by App Store terms, the relevant App Store provider is an intended third-party beneficiary of these Terms.
  • We are not responsible for outages, data loss, or policy changes of third-party providers beyond our reasonable control.

12. Account Deletion and Data Portability

  • You may delete your account at any time through the in-app settings or by contacting support@copa-ai.app.
  • Upon account deletion, we will delete or de-identify your personal data in accordance with our Privacy Policy, subject to limited retention for legal, security, and backup purposes.
  • If you are the sole owner of a household and delete your account, the household and its data may be deleted. We recommend transferring household ownership or exporting your data before deleting your account.
  • You may request a copy of your data by contacting support@copa-ai.app. We will fulfill data portability requests in accordance with applicable law.

13. Service Modifications, Suspension, and Termination

  • We may modify, update, or discontinue features or the service itself at any time. For material changes that reduce core functionality, we will provide reasonable advance notice where practicable.
  • We may suspend or terminate your access for material violations of these Terms, fraud, security risk, legal requirements, or extended inactivity, with notice where practicable.
  • You may stop using Copa at any time. If you have an active subscription, cancellation of the subscription is separate from account deletion.
  • Provisions that by their nature should survive termination (including Sections 5, 9, 10, 14, 15, 16, 17, and 18) will survive.

14. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COPA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT COPA WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED OUTPUTS.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply only to the extent permitted by law.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Jakd LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, GOODWILL, REVENUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE COPA, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR COPA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the limitation or exclusion of certain damages. In those jurisdictions, the limitations above apply only to the extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Jakd LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of Copa; (b) User Content you submit; (c) your violation of these Terms; (d) your violation of any applicable law or third-party right; or (e) any health, care, or medical decision you make based on Copa content.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at support@copa-ai.app and attempt to resolve the dispute informally for at least thirty (30) days.

17.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or Copa will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. Arbitration will be conducted in English and held in Maricopa County, Arizona, or remotely by mutual agreement. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.3 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND Jakd LLC EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR COLLECTIVE PROCEEDING.

17.4 Exceptions

Either party may bring a claim in small claims court if the claim qualifies. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights.

17.5 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to support@copa-ai.app within thirty (30) days of first accepting these Terms. If you opt out, disputes will be resolved in court as described in Section 18.

18. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict-of-law principles. If the arbitration provisions in Section 17 do not apply (including if you opt out), you agree that any judicial proceeding will be brought exclusively in the state courts located in Maricopa County, Arizona, or the United States District Court for the District of Arizona, and you consent to personal jurisdiction in those courts.

19. General Provisions

  • Entire agreement: These Terms, together with the Privacy Policy and any in-app consent disclosures, constitute the entire agreement between you and Jakd LLC regarding Copa and supersede all prior agreements.
  • Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
  • Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
  • Force majeure: We will not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, internet or infrastructure failures, or third-party service outages.
  • Notices: We may provide notices to you via in-app notifications, email to your registered address, or by posting on our website. You may provide notices to us at support@copa-ai.app.

20. Changes to These Terms

We may update these Terms from time to time. We will post the revised Terms with a new effective date. For material changes, we will provide at least fifteen (15) days' advance notice via in-app notification or email before the changes take effect. Your continued use of Copa after the updated Terms take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using Copa before they take effect.
